Terms and Conditions

These are Sparky Media Productions Ltd (hereby referred to SMP for the rest of this document) Terms and Conditions for the 2012 SMP Essex Short Film Competition. This portion of the competition referred to as the "Contest." By entering the Contest, you accept these terms and conditions in full. 

1. Eligibility

The Contest is open to anyone living in the county of Essex. The following persons are not eligible to enter the Contest: Employees of Sparky Media Productions Ltd.

By entering, you agree to these Rules and warrant that you are eligible to enter the Contest. THE CONTEST IS VOID WHERE PROHIBITED.

2. Promotional period

You must submit an audiovisual work (a "Submission") that complies with the requirements of Section 3 below between January 15th, 2012 at 9:00 a.m. GMT and May 28, 2012 at 11:59 p.m. GMT (the "Submission Period") using the means described below. Entries will be judged between May 28, 2012 and June 14th , 2012 (the "Judging Period"). Awards will be announced on or before June 25th, 2012.

3. You must warrant that your contribution

Is your own original work and that you have the right to make it available to SMP for all the purposes specified. Any film deemed by SMP  to be slanderous, promoting goods or services, advocating intolerance, violence or bigotry, intentionally inaccurate in the representation of persons or places or not suitable for a PG audiencewill be removed from the site, and the submitter may be banned from further entry. We will contact you letting you know your film was not suitable for submission. Contains only material for which you have obtained permission (both for you and SMP) to use it as specified above, including permission from the owners of all copyright, image rights, publicity rights, design rights, trade marks, trade secrets, privacy rights or other proprietary rights. Does not violate, plagiarise or infringe the rights of any third party, and is not defamatory or obscene.

When you submit your Submission online by providing us with a direct link to your video link from YouTube , the Submission will be designated "public" and will be publicly viewable. In the event your Submission is selected as a Semi-Finalist or Finalist, SMP may publicly display the Submission on the Sparky Media Website.

You agree to waive in perpetuity any so called "moral rights" in respect of your contribution. You agree to indemnify SMP against all legal fees, damages and other expenses that may be incurred by SMP if you breach any of the conditions laid out.
The video file that you submit must comply with YouTube’s recommended compression and uploading guidelines, which can be found at YouTube.com. Once you have submitted a Submission, it will not be returned. Submissions may be disqualified at any time for non-compliance with these Official Rules.
ANY ATTEMPT TO ENTER THE CONTEST EXCEPT AS PROVIDED ABOVE IS VOID.

4. Contractual Understanding

By submitting your film you:
1. Grant SMP a perpetual, royalty-free, non-exclusive, sub-licensable right and licence to use, reproduce, modify, adapt, publish, distribute, broadcast and make available to the public and exercise all rights in your contribution worldwide and/or to incorporate your contribution in other works in any media (this will include distribution of your contribution via Bluetooth technology) now known or later developed for the full term of any rights that may exist in your contribution).

1.1 No such reproduction, modification, adaptation or distribution will take place without SMP entering into a full and frank disclosure with you (communication made by email to contact details provided at time of submission). The purpose of any such reproduction (etc) would be for the promotion of the SMP competition, for educational work or for the promotion of the filmmaker. All credit would be given.

5. Indemnification

You shall indemnify, defend, and hold SMP harmless from any losses (including reasonable attorneys' fees) arising from any third party action (a) asserting a breach by you of any representation, warranty, or obligation in these Official Rules; or (b) asserting that your Submission infringes or violates any law or any third party right, including any intellectual property right.

6. Judging and awards

SMP will select qualified individuals to review all qualifying Submissions and create a shortlist of ten (10) Submissions. The entrant of each shortlisted Submission shall be referred to as a "Semi Finalist."

To be eligible to be a Semi Finalist, you must not have revoked the License set forth in Section 6. Upon SMP request, each Semi Finalist must provide SMP with any documentation reasonably requested by SMP (e.g., licenses, releases, photos, bios, etc.). Failure to do so in a timely manner may result in disqualification.

Each member of the judging panel will assign a single score to each Semi Finalist Submission based upon the Category Considerations and the Overall Considerations. The top four (4) Semi Finalist Submissions will be deemed "Finalists." The Jury members will discuss the Finalists to determine which Finalist will be the winner of the Category. In doing so, the Jury may consider community voting and commentary on the Finalists, which shall be provided to the Jury by SMP. The winning three filmswill be deemed "Competition Winners" and will be awarded the main prizes.

In addition, SMP staff will make two honorary awards: "Sparky Maverick," an honorary award that recognizes pioneering spirit in the world of online video; " Sparky Newcomer," an award that recognizes outstanding achievement from an creator who produced a film for the first time
The competition winner shall be referred to as a "Winner." The persons who receive the Sparky Maverick, " Sparky Newcomer, shall be referred to as "Honorees."

7. Prize

The first placewinner will receive a cheque for £1,000 issued by Sparky Media Productions Ltd. The second placed film will receive a cheque for £500.00 issued by Sparky Media Productions Ltd. There are no prizes associated with the awards for Sparky Maverick, Sparky Newcomer. Honorees will be presented with a trophy or other recognition that has nominal monetary value.

TAXES ARE THE SOLE RESPONSIBILITY OF THE WINNER

8. Prohibited conduct

SMP reserves the right, in its sole discretion, to disqualify any individual it finds, in its sole determination, to be tampering with the entry process or the operation of the Contest or SMP Website; to be in violation of SMP Terms of Service; to be acting in violation of the Official Rules; to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

9. Limtations of liability

IN NO EVENT WILL SMP, THEIR DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THIS CONTEST, ACCESS TO AND USE OF THE SMP WEBSITE OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE SMP WEBSITE, INCLUDING THE CONTEST IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

10. Disputes, Mandatory Arbitration

SMP decisions on all matters relating to this Contest are final and binding in all respects.
